Terms and licence conditions
General terms and conditions for the purchase of AnnexCREATE licences (Part A) and end user licence agreement for the use of the software (Part B).
Checkout and contract documents are available in German and English. Deutsche Fassung
Free beta versions
The beta is free of charge. It is provided without warranty and without liability for defects, except for defects fraudulently concealed (§ 524 BGB). We are liable only for intent and gross negligence (§ 521 BGB), for injury to life, body or health, and under the Product Liability Act. Beta software may contain errors — back up your data.
Security updates for the beta are delivered through the latest 0.x version; older beta versions are no longer maintained. From version 1.0 the commitments in B4 apply.
The beta is free in every 0.x version, with no trial period. The purchase clauses in Part A and Part B apply only once purchase versions are offered.
Part A – General terms and conditions
A1 Provider and scope
ma-kom agentur UG (haftungsbeschränkt)Merkelbach 12, 74541 Vellberg, Germany
Local court (Amtsgericht) Stuttgart, HRB 744787 · VAT ID DE 288213903
E-mail: mail@annexcreate.com
These terms apply to all contracts for the purchase of licences for the AnnexCREATE software concluded via annexcreate.com. Deviating terms of the customer do not become part of the contract unless we agree to their validity in writing.
A2 Conclusion of the contract
The presentation of the products in the shop is not a binding offer. You choose a package, enter your e-mail address, separately confirm that you are buying a pre-release version (B8) and click “Buy”. You are taken to the payment page of our payment service provider Stripe. There you enter your billing details and payment method and give your consent to immediate performance (A5). By clicking the last button of the payment form (depending on the payment method “Pay” or “Continue”; with PayPal the payment only becomes binding with the confirmation on the PayPal page), above which it says “Clicking the button below places a binding order with an obligation to pay”, you make a binding offer to buy. A display or e-mail merely confirming receipt of your order is not an acceptance. The contract is concluded only when the payment is completed: for payment methods confirmed immediately (e.g. card), upon Stripe’s confirmation of successful payment; for payment methods with delayed confirmation (e.g. SEPA direct debit), only once Stripe confirms receipt of the payment. We then send you the order confirmation with the licence key by e-mail. If the payment fails or is not completed, no contract is concluded and nothing is charged.
Input errors: Until this click, you can change all details on the payment page or return to the shop using the arrow at the top left. Nothing is charged in that case.
Contract text: We store your order data, the invoice and the time and wording of your consent. You receive the terms and the withdrawal policy valid at the time of your purchase with the order confirmation, and the invoice as a PDF attached to it. On request to mail@annexcreate.com we will send you the invoice again.
Contract language: The contract language is German. Translations of these terms are provided for information only; in case of discrepancies the German version prevails.
Payment is processed by Stripe Payments Europe, Ltd. The data processed in the course of this is described in the privacy policy, section 9a.
A3 Prices and payment
All prices are final prices in euros and include statutory VAT. The tax is determined in the checkout according to your country and shown separately on the invoice. The contract is concluded when the payment is completed (A2); the licence key is provided after successful payment.
For every purchase you receive an invoice in PDF format. It is attached to the order confirmation with the licence key; on request we will send it to you again.
A4 Provision
The software is provided exclusively as a download; there is no physical data carrier. We provide: the licence key, the signed licence file and access to the installation packages under Downloads.
A5 Right of withdrawal
Consumers have a right of withdrawal. The details and the model withdrawal form are set out in the withdrawal policy. For digital content, the right of withdrawal expires early under Section 356(5) of the German Civil Code (BGB) if, during checkout, you expressly consent to our beginning performance immediately and confirm that you thereby lose your right of withdrawal. We obtain both before the key is delivered and record them with the time and wording for your purchase.
A6 Warranty
The statutory rights in respect of defects apply. For digital products, Sections 327 et seqq. BGB additionally apply to consumers, including our obligation to provide updates necessary to keep the product in conformity with the contract for the duration of provision (Section 327f BGB). The scope of functional updates beyond this is set out in B4.
A7 Liability
We are liable without limitation for intent and gross negligence, for injury to life, body and health, and under the German Product Liability Act. In cases of simple negligence we are liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely), and limited to the foreseeable damage typical for the contract. Otherwise liability is excluded.
Back up your data. AnnexCREATE works with your documents and existing files. We are liable for the loss of data only to the extent that it would also have occurred with proper and regular data backups.
A8 Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the state in which they have their habitual residence. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Schwäbisch Hall.
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (Section 36 VSBG). The European Commission’s online dispute resolution platform was discontinued on 20 July 2025.
Part B – End user licence agreement (EULA)
B1 What you acquire
You acquire a perpetual, non-exclusive right of use for the purchased version of AnnexCREATE. You are not buying a subscription; there is no term, no renewal and no termination that takes the purchased version away from you again — except termination under B7 and the reversal of the purchase.
Reversal: If we refund the purchase price in full (for example after a withdrawal) or the payment is finally charged back through your bank or card issuer, the right of use ends. We then block the licence on our server for any further activation and release its device slots. A licence file that has already been imported does not technically stop working, because it is checked on your Mac alone; after the reversal it no longer entitles you to use the software.
B2 Activation — and why it works without us
The licence is a cryptographically signed file that remains valid permanently without contacting a server. The software checks the signature locally. There is no online requirement, no grace period and no silent expiry.
The licence server provides convenience only: updates, device list, additional purchases and team sync. If we cease operations, your software keeps running. What we promise for that case is set out in the emergency promise.
B3 Scope of use
- One licence entitles you to use the software on two devices at the same time. A device can be signed out at any time and the licence transferred to another one — the device list is available in AnnexHub.
- Private and commercial use are both permitted. There is no separate “commercial licence” and no restriction on the works created with the software: what you design with it belongs to you, without attribution and without royalties.
- You may use the supplied templates, symbols and sample files in your own work and pass them on, provided the result is not itself a template collection competing with ours.
- Not permitted are: passing on or publishing the licence key or the licence file, renting and sublicensing, removing copyright notices and circumventing the licence check. Reverse engineering is permitted only within the limits of the law (Sections 69d, 69e of the German Copyright Act, UrhG).
- You may transfer the licence permanently to a third party if you sign the software out on your devices and keep no copy. Please let us know of the transfer by e-mail so that we can re-register the licence.
B4 Updates
The purchase price includes all updates up to and including version 1.x — bug fixes, security and compatibility updates as well as new features. Only a later major version (2.0) would be chargeable, and even then your purchased version remains fully usable.
Security updates for at least five years from purchase: For every licence we provide security updates free of charge for at least five years from the date of purchase, even if a new major version is released during that time. This is the support period within the meaning of Regulation (EU) 2024/2847 (Cyber Resilience Act).
Regardless of this, we provide consumers with any update required to keep the product in conformity with the contract under Section 327f BGB.
B5 Third-party formats and import of existing files
AnnexCREATE can read files from other programs and create an editable layout from them. This import is a reconstruction, not a format licence: the formats belong to other manufacturers and keep evolving. We promise that every import logs what was taken over, replaced, estimated or not read — we do not promise that every file of every third-party format can be reconstructed completely. Check the result against the log before you let go of the source file.
B6 Third-party components
The software contains third-party components under free licences. The complete list with licence texts is included with every installation and available under Documentation. The respective licence terms apply to these components with priority over Part B.
B7 Termination
If you pass the licence file or licence key on to third parties without permission and continue to do so despite a warning, we may terminate the right of use. Other breaches of B3 do not entitle us to terminate. After termination, use must cease and the installations must be removed. Your statutory right to continue using works already created remains unaffected.
B8 Disclaimer and pre-release versions (alpha, beta)
As long as a version of AnnexCREATE is labelled alpha or beta, the following applies in addition:
- It is a test version. It may contain errors, individual functions may change or be dropped, and file formats may still change until version 1.0.
- Work with copies and keep backups. This applies in particular to importing existing files: the source file remains untouched, and it should stay that way until you have checked the result.
- For pre-release versions we do not promise any particular suitability, freedom from errors or availability of the server services (updates, device list, team sync). This is separate from the usability of the software itself — under B2 it does not depend on the server.
- Results of automatic imports from third-party formats must be checked before further use; the import log names what was taken over, replaced, estimated or not read (B5).
Your statutory rights remain unaffected. This section describes the state of a pre-release version. You agree this state with us separately before buying (A2, section 327h German Civil Code): your rights in respect of defects relate to a pre-release version as described here, not to a finished version. Liability under A7 remains unaffected. Liability for intent and gross negligence, for injury to life, body and health and under the Product Liability Act is expressly not excluded — not in the beta either.
B9 No trial period in the free beta
The free beta has no trial period and no lock after a deadline. Saving and exporting work without a licence. The 0.7.1 build still being delivered knows the 14-day trial; the next update removes it. A trial period for later purchase versions would be announced separately before any purchase and would apply only then.
Last updated: 8 October 2026. These terms apply to all purchases via this website.
